Rules Governing Your Use of This Site

1. Acceptance of Terms

By accessing or using honorcodemedical.com or any of its related sub-properties (collectively, the "Site"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, please do not use the Site.

HCMC reserves the right to modify these Terms at any time. We will update the "Last updated" date at the top of this page. Your continued use of the Site after changes constitutes acceptance of the revised Terms.

Honor Code Medical Consultants ("HCMC," "we," "us," or "our") is a Texas-based medical device and biologics distributor. The Site and its content are owned and operated by HCMC.

• Licensed healthcare professionals (physicians, nurses, surgeons, and allied clinical staff)
• Authorized hospital and clinical purchasing staff
• Manufacturer partners and potential partners
• HCMC representatives (authenticated portal access only)
• Members of the general public learning about HCMC's veteran heritage and mission

The Site is not directed to patients seeking medical advice or prescription product information for personal use. Product pages are physician-directed. Patients should consult their treating clinician for any questions about HCMC-distributed products.

4. Intellectual Property

All content on this Site — including text, graphics, logos, images, audio, video, software, and the overall design — is the property of HCMC or its content suppliers (manufacturer partners, authors, peer-reviewed publishers where cited) and is protected by United States and international copyright, trademark, and intellectual property law.

You are granted a limited, non-exclusive, revocable license to view and, where explicitly enabled, download or share content for personal, non-commercial use. You may not:

• Reproduce, copy, redistribute, or republish Site content for commercial purposes without written permission
• Modify or create derivative works of Site content
• Use HCMC trademarks, logos, or brand identity without written permission
• Scrape, data-mine, or use automated tools to extract content from the Site

HCMC's product descriptions reference third-party manufacturers' trademarks and product names. Those marks belong to their respective owners and are used under license or with permission.

6. Regulatory Status of Products

Products distributed by HCMC are subject to various U.S. Food and Drug Administration (FDA) regulatory pathways, including 510(k) clearance, Premarket Approval (PMA), Section 361 HCT/P registration, and others. Product pages on this Site disclose the regulatory status of each product.

Information about products on this Site describes cleared, approved, or registered indications for use only. HCMC does not promote or recommend any off-label use of any product. Clinicians are responsible for verifying current product labeling, prescribing information, and regulatory status before use.

HCMC makes no claim that any product on this Site is safe or effective for any use other than as described in its cleared/approved labeling.

7. Rep Portal Access

Access to the HCMC Rep Portal is restricted to authorized representatives. Access credentials are personal, non-transferable, and subject to a separate Rep Access Agreement. Unauthorized access is prohibited and may subject you to civil and criminal liability.

If you are an authorized representative: keep credentials secure, notify HCMC promptly of any suspected unauthorized access, and comply with HCMC's content, compliance, and confidentiality policies as described in your Rep Access Agreement.

8. User Submissions

If you submit any information to HCMC through contact forms, email, or other channels (collectively, "Submissions"), you represent that:

• The Submission is accurate and lawful
• You own or have permission to share the Submission
• The Submission does not contain Protected Health Information (PHI) or personally identifiable patient information
• HCMC may use the Submission to respond to your inquiry and for internal business purposes, subject to our Privacy Policy

9. Disclaimer of Warranties

The Site and its content are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. To the fullest extent permitted by law, HCMC disclaims all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding the accuracy, completeness, or timeliness of Site content

10. Limitation of Liability

To the fullest extent permitted by law, HCMC and its officers, directors, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, even if advised of the possibility of such damages.

HCMC's total liability for any claim arising from these Terms or your use of the Site will not exceed one hundred U.S. dollars ($100.00), to the fullest extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless HCMC and its officers, directors, employees, agents, and affiliates from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Site
• Your violation of these Terms
• Your violation of any law or third-party right

12. Third-Party Links and Content

The Site may contain links to third-party websites, resources, peer-reviewed journals, and manufacturer partner sites. HCMC does not endorse and is not responsible for the content, privacy practices, or accuracy of any third-party site. You access third-party sites at your own risk.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. Any dispute arising from these Terms or your use of the Site will be resolved in the state or federal courts located in Texas, and you consent to the exclusive jurisdiction of those courts.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy and any agreements you enter into with HCMC (including but not limited to the Rep Access Agreement), constitute the entire agreement between you and HCMC regarding your use of the Site.
